1. The Services
Steward AI provides Collect by Steward AI and may provide additional products (collectively, the "Services"). The Services allow you to upload invoice data, generate AI-drafted reminder emails using Anthropic's Claude API, and send those emails to your clients on your behalf after your review and approval.
2. Eligibility and Accounts
- You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account
- You must provide accurate and complete registration information and keep it up to date
- You may not share your account with others or create accounts for the purpose of circumventing usage limits
3. Free Trial
- New accounts receive a 14-day free trial with full access to the Services
- No credit card is required to start the trial
- During the trial, a maximum of 25 invoices may be added to Collect
- At the end of the trial period, you must provide a valid payment method to continue using the Services. If no payment method is provided, your account will be locked and invoice chasing will stop
- We may modify, shorten, or eliminate the free trial offering at any time with notice
4. Subscriptions, Billing and Payment
4.1 Subscription plans
The Services are offered on a subscription basis. Current plans as of the date of these Terms:
- Starter — $199/month, 100 invoices/month included, $1.50 per additional invoice
- Growth — $349/month, 250 invoices/month included, $1.25 per additional invoice
- Scale — $549/month, 500 invoices/month included, $1.00 per additional invoice
4.2 Annual billing
Annual plans are billed upfront at approximately 15% off the monthly rate. Annual plans are non-refundable after 30 days from the start of the subscription term.
4.3 Overage billing
An invoice is counted once toward your monthly allotment the first time it is added to Collect in a billing cycle — not each time a chase email is sent for that invoice. Any invoices above your monthly allotment are billed at your plan's per-invoice overage rate at the end of the billing cycle.
4.4 Payment processing
All payments are processed by Stripe. By providing a payment method, you authorise us to charge that method for your subscription and any applicable overages.
4.5 Refunds
- Free trial — no charge, no refund required
- Monthly plans — no refunds for partial months
- Annual plans — full refund within 30 days of initial payment; no refund after 30 days
- We may issue refunds at our discretion in cases of billing errors or service outages exceeding 24 consecutive hours
4.6 Plan changes
- Upgrades — take effect immediately; prorated credit applied for remainder of current cycle
- Downgrades — take effect at the start of the next billing cycle
- Cancellations — take effect at the end of the current billing period; data retained for 30 days then permanently deleted
4.7 Failed payments
If a payment fails, we will retry up to three times over five days. If payment is not recovered after five days, your account will be suspended until payment is updated.
5. Acceptable Use
You agree to use the Services only for lawful purposes. You must not:
- Use the Services to send harassing, threatening, abusive, deceptive, or fraudulent communications to your clients
- Impersonate another person or entity, or misrepresent your identity or affiliation
- Upload data you do not have the legal right to use, or that violates the privacy rights of any third party
- Attempt to circumvent, disable, or interfere with any security feature of the Services
- Use the Services in any way that violates applicable law, including the CAN-SPAM Act, GDPR, or CCPA
- Reverse engineer, decompile, or attempt to extract the source code of the Services
- Resell, sublicense, or otherwise make the Services available to third parties without our written consent
6. Your Data
6.1 Your ownership
You retain all ownership rights in the invoice data, client data, and email content you provide to the Services. You grant us a limited, non-exclusive licence to use that data solely to provide the Services to you.
6.2 AI processing
By using the Services, you consent to your invoice data being transmitted to Anthropic's Claude API for the purpose of generating email draft suggestions. See our Privacy Policy at /privacy for more detail.
6.3 Your client data
You represent and warrant that you have obtained all necessary consents and have the legal right to provide your clients' email addresses and invoice information to the Services.
6.4 Data deletion
You may delete your data at any time from within the app. Account deletion requests may be submitted to legal@getstewardai.app. We will delete your data within 30 days.
7. Third-Party Integrations
The Services integrate with third-party platforms including QuickBooks, Xero, Stripe, PayPal, and others. Your use of those platforms is subject to their own terms and privacy policies. We are not responsible for any third-party platform's availability, accuracy, or conduct. CSV import is always available as a fallback.
8. Intellectual Property
The Services, including all software, design, trademarks, and content produced by Steward AI (excluding your data), are owned by Steward Labs LLC and protected by intellectual property laws. "Steward AI," "Collect by Steward AI," and related marks are trademarks of Steward Labs LLC.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
AI-generated email drafts are suggestions only. We make no representations about their accuracy, tone, or effectiveness in securing payment of any invoice.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEWARD AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
11. Indemnification
You agree to indemnify, defend, and hold harmless Steward Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) your use of the Services; (b) your violation of these Terms; (c) any content you submit through the Services; or (d) your violation of any third party's rights.
12. Termination
- You may cancel your subscription at any time via the Customer Portal or by contacting legal@getstewardai.app
- We may suspend or terminate your account immediately if you breach these Terms or engage in fraudulent activity
- Upon termination, your right to use the Services ends immediately. We will retain your data for 30 days then delete it permanently
- Sections 8, 9, 10, 11, and 13 survive termination
13. Governing Law and Disputes
These Terms are governed by the laws of the State of California. Any dispute shall be resolved exclusively in the state or federal courts located in Santa Clara County, California. Before filing any legal claim, each party agrees to attempt in good faith to resolve the dispute informally within 30 days.
14. Changes to These Terms
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email or a prominent in-app notice. Continued use after the effective date constitutes acceptance.
